1. General Terms

These Terms & Conditions apply to all export and import transactions conducted by Protrade, hereafter referred to as “the Company”.
By engaging in trade with the Company, the Client agrees to be bound by these Terms.

2. Quotations & Pricing

• All quotes provided are valid for a period of [30] days unless otherwise stated.
• Prices are exclusive of taxes, customs duties, freight, insurance, and other charges unless explicitly included.
• Any fluctuations in exchange rates, government levies, or transport costs after the date of quotation may result in a price revision.

3. Orders & Confirmation

• Orders must be submitted in writing and are subject to acceptance by the Company.
• A contract is formed only upon written confirmation from the Company.
• Once confirmed, orders cannot be canceled or modified without written consent.

4. Shipping & Delivery

• Delivery terms are based on Incoterms 2020, unless otherwise agreed.
• Delivery dates are estimates and not guaranteed. The Company is not liable for delays caused by carriers, customs, force majeure, or regulatory authorities.
• Risk transfers to the Client upon delivery in accordance with the agreed Incoterm.

5. Customs & Documentation

• The Company will provide all necessary export/import documentation (e.g., invoices, packing lists, certificates of origin) as per agreement.
• It is the Client’s responsibility to ensure compliance with all import laws and regulations of the destination country.

6. Payment Terms

• Unless otherwise agreed, payment must be made in full within [30 days] of the invoice date.
• The Company reserves the right to charge interest at [1.5% per month] on overdue accounts.
• Ownership of goods remains with the Company until payment is received in full.

7. Warranties & Claims

• The Company warrants that all goods supplied are as described in the shipping documents.
• Any claims for damage, shortage, or defect must be made in writing within [7 days] of receipt.
• The Company’s liability is limited to replacement of the goods or a refund, at its discretion.

8. Limitation of Liability

• The Company shall not be liable for any indirect, incidental, or consequential losses, including loss of profit or business interruption.
• Total liability is limited to the value of the goods supplied.

9. Force Majeure

The Company is not responsible for failure or delay in fulfilling obligations due to events beyond its control, including but not limited to natural disasters, war, strikes, port closures, or changes in law.

10. Governing Law

These Terms & Conditions are governed by the laws of [Your Country/State].
Any disputes arising shall be subject to the exclusive jurisdiction of the courts in [City/Country].
